TERMS AND CONDITIONS FOR WEBSITE DESIGN, ONLINE ADVERTISING, AND MARKETING SERVICES

1. COMPENSATION
1.1 Advance Payment Requirement
All services require payment in advance. For “One-time Services,” payment is due at the time of purchase through our website or designated payment gateway.


1.2 Monthly Services
Monthly services must be paid via automatic credit card transactions. Monthly invoices will include base service fees and any applicable additional charges, and will be processed on the designated Renewal Date.


1.3 Late Payments
 Sansom reserves the right to assess and collect late-payment charges of ten percent (10%) per month on any past-due balances.

2. CANCELLATION POLICY
2.1 General Termination 
Either party may terminate any service agreement, with or without cause, by providing thirty (90) days’ written notice.


2.2 Dormant Projects
 Sansom reserves the right to cancel any project that is abandoned or inactive for a period of thirty (30) consecutive days, with or without notice. No refund will be issued for such projects.

3. MONTHLY RETAINER CANCELLATION (SOCIAL MEDIA, MEDIA & DIGITAL MARKETING SERVICES)


3.1 All monthly retainer agreements, including but not limited to social media management and digital advertising packages, must be canceled directly by the Client through the designated marketing platform (currently Ninety Nine Social or Cloud Campaign).


3.2 Clients will receive login credentials to access and manage their accounts. Cancellation requests must be submitted through the platform. Sansom does not accept cancellation requests via email, phone, or text.


3.3 Services and billing will continue until the Client has manually completed the cancellation process. It is solely the Client's responsibility to ensure timely cancellation.



4. OWNERSHIP OF MARKETING MATERIALS


4.1 All marketing content, creative assets, strategies, campaigns, advertisements, and social media content created by Sansom remain the exclusive intellectual property of Sansom LLC, unless otherwise agreed upon in writing.


4.2 Clients are granted a limited, non-exclusive, non-transferable license to use said materials only while an active, paid service agreement is in place. Upon cancellation or termination, this license may be revoked.


4.3 Sansom reserves the right to reuse, repurpose, or resell any non-client-specific designs, strategies, or written content, provided no proprietary client information is included.

5. REFUND POLICY
5.1 All sales are final. No refunds will be issued for any service once initiated or delivered.
5.2 Refunds will not be provided for the following services, regardless of usage or delivery status:
Search Engine Optimization (SEO)
Pay-Per-Click (PPC)/Google Ads
Social Media Marketing
Email Marketing
Paid Media


Hosting or domain registration
5.3 Projects that remain inactive for more than thirty (30) days may be considered abandoned. No refund will be issued in such cases.
5.4 Billing continues until a proper cancellation is submitted and confirmed per the cancellation procedures outlined in Section 3.

6. COMPLETION OF WORK
Sansom reserves the right to reasonably extend deadlines if delays are caused by the Client’s failure to provide required materials or approvals. Projects that remain inactive for more than 30 days may be canceled without notice or refund.

7. CONTENT MATERIALS
The Client is responsible for supplying all necessary content (e.g., text, images, videos, logos). The Client assumes full responsibility for any copyright violations arising from submitted materials. Sansom reserves the right to reject any inappropriate or unlicensed content.

8. DOMAIN NAMES AND WEB HOSTING
Domain names and hosting may be included with web design services. Domains purchased and registered by Sansom remain the property of Sansom LLC unless otherwise agreed upon in writing. Domain transfer may be subject to applicable resale and administrative fees.

9. REVISIONS
Clients are entitled to three (3) major design revisions. Additional revisions or changes outside the original project scope will be billed at a rate of $200.00 per hour.

10. PROJECT DELAYS, CLIENT LIABILITY, AND APPROVALS


10.1 Clients must appoint a single point of contact and provide timely feedback.
10.2 Delays in providing necessary materials or approvals may result in a 30-day hold in development scheduling.


10.3 Final approval signifies the close of the project. No further changes will be made post-approval without a new contract or service agreement.

11. INTELLECTUAL PROPERTY
The Client is responsible for obtaining and maintaining rights for all intellectual property provided to Sansom for use in their projects. Sansom disclaims all liability for claims related to unauthorized content provided by the Client.

12. LICENSING
Upon project completion, the Client is granted a non-exclusive license to use the completed website and its contents, excluding any marketing materials covered by Section 4.

13. NON-DISCLOSURE
Sansom agrees to treat all proprietary Client information as confidential and not to disclose such information to any third party without written consent, unless required by law.

14. ADDITIONAL EXPENSES
Clients agree to reimburse Sansom for any out-of-pocket expenses required for their project, including but not limited to stock images, premium templates, plugins, third-party software, and domain registration.

15. SEVERABILITY
If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
